LV Aggregate Load Board LLC
Effective Date: February 7, 2026 | Last Updated: September 20, 2026

1. ACCEPTANCE OF TERMS

By creating an account, clicking “I Agree,” subscribing, or otherwise using LVaggregate.com (the “Platform”), you confirm that you have read, understood, and agree to be bound by these Terms of Service (“Terms”).

These Terms are a legally binding agreement between you and LV Aggregate Load Board LLC, a Nevada limited liability company (“Company,” “we,” “us,” or “our”).

If you do not agree to these Terms, you must not create an account or use the Platform.

By continuing to use the Platform after any updates to these Terms, you agree to the revised version. If you do not agree to updated Terms, you must stop using the Platform.

You represent that you are at least 18 years old and have the authority to enter into this agreement on behalf of yourself or your business.

2. NATURE OF THE PLATFORM

2.1 Technology Marketplace Only

The Platform is an online marketplace that allows independent Contractors and independent Owner-Operators to connect for material hauling services in the construction and landscaping industries.

The Company provides access to software tools that allow users to post loads, review opportunities, and communicate. The Company does not participate in or control the actual transportation of materials.

The Company:

  • Is not a freight broker
  • Is not a motor carrier
  • Is not a shipper
  • Does not transport materials
  • Does not dispatch drivers
  • Does not assign loads to any specific hauler
  • Does not control equipment, routes, schedules, or how services are performed
  • Does not guarantee that any load will be fulfilled
  • Does not guarantee payment between users

All decisions relating to booking, pricing, scheduling, and performance are made solely by the users involved. The Company provides software tools only.

2.2 No Agency or Employment Relationship

Nothing in these Terms creates:

  • An employer-employee relationship
  • A joint venture
  • A partnership
  • An agency relationship
  • A brokerage relationship

Contractors and Owner-Operators operate as independent businesses.

The Company does not supervise, direct, manage, or control how users perform their services. Each user is responsible for their own business operations, licensing, insurance, taxes, employees, and compliance with applicable laws.

Users may not represent themselves as employees, agents, or representatives of the Company.

2.3 FMCSA Broker Avoidance Disclosure

The Platform operates as a neutral technology service that allows users to find and communicate with one another.

The Company does not:

  • Arrange transportation for compensation
  • Accept responsibility for transporting materials
  • Select carriers on behalf of Contractors
  • Negotiate transportation rates between users
  • Issue bills of lading
  • Take possession of materials
  • Control or direct how hauling services are performed

Any load posting, booking, or agreement occurs directly between independent users. The Company is not a party to those agreements.

The Company does not hold itself out as a freight broker and does not provide brokerage services. Because the Company does not arrange or take responsibility for transportation, it does not maintain broker authority or broker bonds.

Users understand and agree that they are solely responsible for complying with all transportation laws, including federal and Nevada requirements.

3. ELIGIBILITY

To use the Platform, you must:

  • Be at least 18 years old
  • Have the legal ability to enter into binding agreements
  • Maintain any licenses, permits, registrations, or operating authority required for your business activities

If you register on behalf of a company or business, you confirm that you have the authority to bind that business to these Terms. You are responsible for ensuring that your business complies with all applicable laws, including Nevada and federal requirements related to construction and transportation.

We may request information to confirm eligibility. If you no longer meet these requirements, you must stop using the Platform immediately.

4. ACCOUNT RESPONSIBILITIES

You are responsible for your account and all activity that occurs under it.

This includes:

  • Keeping your login information secure
  • Not sharing your account with others
  • Providing accurate, current, and complete information
  • Updating your information if it changes
  • Using the Platform in compliance with all applicable laws

You are responsible for any actions taken through your account, whether authorized by you or not.

We may suspend or terminate accounts if we believe there has been fraud, false information, misuse of the Platform, regulatory concerns, or conduct that puts other users or the Company at risk.

5. REGULATORY COMPLIANCE

5.1 Owner-Operator Responsibilities

Each Owner-Operator confirms that they:

  • Maintain all required motor carrier authority, if applicable
  • Comply with all federal transportation regulations, including DOT rules
  • Comply with Nevada transportation and safety laws
  • Operate as an independent business

Owner-Operators are fully responsible for their vehicles, drivers, compliance, and operations.

5.2 Contractor Responsibilities

Each Contractor confirms that they:

  • Have legal authority over the materials being transported
  • Ensure materials are lawful to transport
  • Comply with local construction rules, site rules, and permit requirements
  • Follow all Nevada and local regulations relating to construction activities

5.3 No Company Verification

The Company does not independently verify licenses, permits, operating authority, or regulatory compliance. Each user is responsible for their own compliance and for conducting their own due diligence before entering into agreements with other users.

6. SUBSCRIPTIONS AND FEES

Access to the Platform requires a paid subscription.

Subscription pricing and billing terms are displayed on the Platform. By subscribing, you authorize recurring charges based on your selected plan.

Payments are processed through third-party providers, including Stripe. The Company does not store full payment details.

The Company does not hold funds related to load services and does not act as a payment intermediary between Contractors and Owner-Operators.

The Company bills subscription fees only. It does not process, collect, or disburse payment for hauling services, does not issue or receive invoices for hauls, and does not act as a payor or payee between Users.

All subscription fees are non-refundable unless required by Nevada law. Canceling your subscription stops future billing but does not result in a refund for the current billing period.

7. USER TRANSACTIONS

All bookings and agreements for hauling services are made directly between Contractors and Owner-Operators.

Invoicing and payment for hauls are handled directly between the Contractor and the Owner-Operator. The Company does not provide invoicing, payment processing, escrow, or payment guarantees for hauls, and does not mediate payment disagreements between Users.

The Company:

  • Is not a party to transportation agreements
  • Does not guarantee payment
  • Does not guarantee performance
  • Does not enforce contracts between users

Each user is responsible for negotiating and fulfilling their own agreements.

8. INSURANCE REQUIREMENTS

8.1 Owner-Operator Insurance

Owner-Operators must maintain active and valid insurance at all times while using the Platform, including:

  • Commercial auto liability insurance that meets or exceeds federal minimum requirements
  • Cargo insurance suitable for the materials being transported
  • Workers’ compensation insurance if required by law, or a lawful exemption
  • Any additional coverage required under Nevada law

Owner-Operators are responsible for ensuring their insurance remains active and sufficient.

The Company does not verify coverage and is not responsible for uninsured losses.

8.2 Contractor Insurance

Contractors are responsible for maintaining:

  • Commercial general liability insurance
  • Builder’s risk or project-specific coverage if required
  • Compliance with all job-site safety requirements

Contractors are responsible for their project risks and job-site conditions.

8.3 No Company Coverage

The Company does not provide:

  • Motor carrier insurance
  • Cargo insurance
  • Workers’ compensation insurance
  • Site liability insurance

The Company’s insurance, if any, does not cover user operations, hauling services, or construction activities.

9. RISK ALLOCATION AND SITE RESPONSIBILITY

9.1 Contractor Responsibility

Contractors are solely responsible for:

  • Ensuring safe and lawful site access
  • Proper loading and unloading procedures
  • Accurate weight and load information
  • Obtaining required permits
  • Maintaining a safe job-site environment

9.2 Owner-Operator Responsibility

Owner-Operators are solely responsible for:

  • Safe operation of vehicles
  • Compliance with DOT and Nevada transportation laws
  • Securing loads properly
  • Determining whether a job site is safe to enter
  • Refusing unsafe loads or unsafe conditions

9.3 Assumption of Risk

Construction hauling involves risks, including:

  • Vehicle accidents
  • Equipment breakdown
  • Property damage
  • Personal injury

Each user accepts responsibility for their own operations and risks.

The Company is not responsible for accidents, delays, injuries, material loss, or damage arising from user activities.

10. USER DISPUTES

The Company does not mediate or resolve disputes between users.

Users agree not to involve the Company in payment disputes, performance disputes, or transportation-related claims.

Each user is responsible for resolving disputes directly with the other party.

11. PROHIBITED CONDUCT

Users may not:

  • Provide false licensing or insurance information
  • Represent themselves as agents or employees of the Company
  • Use the Platform to avoid regulatory requirements
  • Post fraudulent or misleading loads
  • Scrape, copy, or extract Platform data without permission
  • Use the Platform for unlawful activities

Violations may result in suspension or termination.

12. ENFORCEMENT AND DISCIPLINARY ACTIONS

The Platform is only useful when users can trust what they see on it. To protect Contractors, Owner-Operators, and the Company, the Company may take the actions described in this section when it reasonably believes that a user has broken these Terms, provided false or expired information, failed to maintain required insurance or authority, mistreated another user, or otherwise put the Platform, its users, or the public at risk.

12.1 Graduated Response

In most cases the Company will respond in stages, matching the response to how serious the conduct is and the user’s history on the Platform:

  • Notice or warning. A written notice describing the problem and what must change.
  • Content action. Editing, hiding, or removing a load posting, booking request, booking, or profile detail that violates these Terms.
  • Feature restriction. Certain tools may be limited, for example the ability to post loads or submit booking requests, until verification is completed.
  • Temporary suspension. Access to the Platform is paused for a defined period while an issue is reviewed or corrected.
  • Permanent removal. The account is terminated and the user is barred from creating another account on the Platform.

The Company may skip one or more stages and move straight to suspension or permanent removal where the conduct is serious, repeated, dangerous, or unlawful, or where another user or the Company is at risk.

12.2 Conduct That May Result in Immediate Removal

  • False, expired, cancelled, or forged insurance, licensing, or operating authority
  • Duplicate, fake, or bait-and-switch load postings
  • Accepting a booking and abandoning it without notice
  • Harassment, threats, discrimination, or unsafe behavior toward another user at a load site or on the road
  • Creating a new account to get around a suspension or removal
  • Scraping, reselling, or misusing Platform data
  • Payment fraud or attempts to obtain funds through the Platform dishonestly

12.3 Notice and Review

Where practical, the Company will tell the user what action was taken and why, by email or in the account. Where immediate action is needed to prevent harm, notice may be given after the action is taken.

A user who believes an action was taken in error may ask the Company to review it by emailing dirt@lvaggregate.com with the account email address and a short explanation of the situation. The Company handles reviews directly and its decision is final.

12.4 Effect of Suspension and Removal

Suspension does not extend a subscription period or pause billing unless the Company agrees in writing. Where an account is removed for violating these Terms, no refund is issued except where required by law. Open bookings and pending requests may be cancelled, and each user should keep their own records of completed hauls.

Removing a user does not make the Company a party to any dispute between users and does not create any obligation for the Company to monitor or police other users on anyone’s behalf.

12.5 No Waiver

If the Company does not act on a violation on one occasion, it may still act on that or a later violation. The actions in this section are in addition to every other right the Company has under these Terms or at law.

13. INTELLECTUAL PROPERTY

All content, software, design, branding, and materials on the Platform are owned by the Company or its licensors.

Users may not copy, distribute, modify, or use Platform materials without written permission.

Unauthorized use may result in account termination and legal action.

14. DISCLAIMER OF WARRANTIES

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”

The Company does not guarantee:

  • Continuous or error-free operation
  • Accuracy of user content
  • Availability of loads or bookings
  • Suitability of services for any particular purpose

Use of the Platform is at your own risk.

15. LIMITATION OF LIABILITY

To the fullest extent permitted under Nevada law, the Company is not responsible for:

  • Property damage
  • Cargo loss
  • Personal injury or wrongful death
  • Regulatory penalties
  • Business interruption
  • Disputes between users

If the Company is found responsible for any claim, its total liability will not exceed the subscription fees paid by the user in the twelve (12) months before the claim.

Nothing in this section limits liability where Nevada law does not allow such limitation.

16. INDEMNIFICATION

You agree to protect and reimburse the Company for claims, losses, or expenses arising from:

  • Your transportation activities
  • Construction site incidents
  • Insurance failures
  • Regulatory violations
  • Disputes with other users

This responsibility continues even after your account is terminated.

17. DISPUTE RESOLUTION

17.1 Governing Law

These Terms are governed by the laws of the State of Nevada.

17.2 Informal Resolution

Before filing a claim, you agree to contact the Company and attempt to resolve the issue informally.

17.3 Binding Arbitration

If a dispute cannot be resolved informally, it will be resolved through binding arbitration in Nevada under the rules of the American Arbitration Association.

You agree to resolve disputes individually and waive participation in class actions.

If arbitration is not enforceable, disputes must be filed exclusively in Nevada courts.

18. TERMINATION

We may suspend or terminate accounts for:

  • Fraud
  • Regulatory concerns
  • Non-payment
  • Repeated abuse of bookings
  • Violations of these Terms

Access ends immediately upon termination.

Suspension and removal procedures, including how to ask for a review, are described in Section 12 (Enforcement and Disciplinary Actions).

19. GENERAL PROVISIONS

These Terms represent the entire agreement between you and the Company.

If any provision is found unenforceable, the remaining provisions remain in effect.

Failure to enforce a provision does not waive our right to enforce it later.

We may update these Terms, and continued use constitutes acceptance of changes.
